Declaration of Conformity according to § 161 German Stock Corporation Act
The aim of the German Corporate Governance Code is to make Germany’s corporate governance rules transparent for both national and international investors, thus strengthening confidence in the management of German corporations. The Code takes into consideration both the legal framework as well as national and international standards and recommendations with respect to good corporate governance. It is within the context of § 161 of the German Stock Corporation Act that the Code has its legal basis.
According to Art. 161 of the German Stock Corporation Act, the executive board and supervisory board of zooplus AG declare once a year in what respect the code was adhered to or digressed from. Since inception, both zooplus AG’s executive and supervisory board have always given high priority to all issues of good corporate governance.
Most major criteria of the Code were applicable and adhered to by zooplus AG and – in the opinion of the company’s management – continue to be a major factor of zooplus‘ long term success.
